Does a personal umbrella cover nonprofit board service?
Last reviewed:
Sometimes, within limits. The standard ISO personal umbrella excludes liability for acting as a corporate or organization officer or director, except when the only compensation is reimbursement of expenses for a nonprofit organization. Many personal umbrellas therefore cover unpaid nonprofit board service but exclude paid or for-profit boards, and some limit certain claim types. The organization’s own directors and officers (D&O) policy is normally the first line of defense.
What the standard form says
The ISO personal umbrella analysis: “Coverage for any damages connected to an insured’s actions as a corporate or organization officer or director is excluded UNLESS the only compensation is reimbursement of expenses for such duties performed for a non-profit organization.” IRMI also lists “serving on nonprofit boards of directors” among the exposures an umbrella can address that primary policies often don’t.
Limits of that coverage
A personal umbrella responds to bodily injury, property damage, and personal injury as the policy defines them. Many board claims allege financial or management errors that don’t fit those definitions, and insurer forms differ. Ask the organization for its D&O policy and limits. If you serve on a for-profit board or are paid for board service, plan on that company’s D&O policy or separate coverage, not your personal umbrella.
